IMPORTANT NOTICE — ARBITRATION & CLASS ACTION WAIVER
These Terms contain a binding arbitration agreement and class action waiver in Section 16. By using Mingler, you agree that disputes will be resolved through individual binding arbitration rather than in court or through a class action lawsuit. Please read Section 16 carefully.
1. Introduction & Acceptance of Terms
Welcome to Mingler, operated by Novaslate LLC d/b/a Mingler, accessible at himingler.com. Mingler is an online ticketing marketplace that connects attendees with in-person live experiences — including theater performances, stand-up comedy, musicals, small concerts, and other venue-based events.
These Terms & Conditions are a legally binding agreement between you and Mingler governing your access to and use of the platform. By accessing or using Mingler, you agree to be bound by these Terms and our Privacy Policy.
2. About Mingler
Mingler is a technology platform and marketplace. We provide tools for event organizers to list events and for attendees to discover and purchase tickets. We do not create, host, organize, or manage any events ourselves. All events listed on Mingler are organized and operated by independent third-party organizers.
3. Eligibility
To use Mingler, you must be at least 18 years of age (or at least 13 with parental consent), be legally capable of entering into a binding contract, and not have had a prior Mingler account disabled for violation of these Terms.
4. User Accounts
Registration: You agree to provide accurate, complete, and current information at registration and to keep it updated.
Account Security: You are solely responsible for maintaining the confidentiality of your password. Notify us immediately at biz@himingler.com if you suspect any unauthorized access.
One Account Per User: Each person may maintain only one personal account. Attempting to circumvent ticket limits by creating multiple accounts may result in cancellation of all associated orders.
5. Ticket Purchases & Orders
How Purchases Work: When you purchase a ticket through Mingler, you are entering into a transaction facilitated by Mingler between you and the Organizer. All sales are generally final.
Pricing & Fees: Your total may include a service fee, platform fee, per-order processing fee, and applicable taxes, all of which will be disclosed before you complete your purchase.
Payment Processing: All payments are processed by a third-party payment processor (such as Stripe). Mingler does not store your full payment card details.
Order Confirmation: You will receive a booking confirmation by email. Verify all details and contact us promptly if anything is incorrect.
Ticket Limits: Organizers may set limits on the number of tickets purchasable. Purchases that exceed stated limits may be cancelled without prior notice.
6. Refunds, Cancellations & Event Changes
General Refund Policy: All ticket sales are final. Refunds are only available in limited circumstances described in this section or as stated by the individual Organizer.
Event Cancellation by Organizer: If an Organizer cancels, you will be notified and refunded the ticket face value and applicable service fees to your original payment method.
Postponed or Rescheduled Events: Your tickets remain valid for the new date or location. Refund eligibility depends on the Organizer's stated policy.
Lineup Changes: Opening acts and supporting performers are subject to change without notice. No refund will be issued solely on account of a change to a supporting act.
7. Ticket Transfer
Ticket transfer may be available for certain events. Only the original purchaser is eligible for refunds. Tickets may not be transferred for commercial gain or resold at a markup. Unauthorized resale may result in ticket cancellation without refund and account suspension.
8. Event Organizers
Organizers are solely responsible for the accuracy of all event information, delivering the event as described, obtaining all required permits, and honoring their stated refund policy.
Payouts: Mingler will disburse ticket sale proceeds after deducting applicable platform fees, in accordance with the payout schedule communicated during onboarding.
9. Attendee Conduct at Events
By purchasing a ticket, you agree to comply with all rules, policies, and conditions of the event Organizer and venue. A ticket is a revocable license to attend the event. You voluntarily assume all risks associated with attending live events.
10. Prohibited Conduct
By using Mingler, you agree not to: use the platform for unlawful purposes, provide false information, purchase tickets to resell at a markup, use bots or automated tools, attempt unauthorized access, reverse engineer the platform, or collect personal information about other users without consent.
11. Intellectual Property
All content, design, software, trademarks, and logos on the Mingler platform are owned by or licensed to Novaslate LLC. You may not copy, reproduce, distribute, or create derivative works without our prior written consent.
12. Privacy
Your use of Mingler is governed by our Privacy Policy.
13. Third-Party Services & Links
Mingler integrates with third-party services, including payment processors such as Stripe. Your use of those services is subject to their own terms and privacy policies.
14. Disclaimers
The Mingler platform is provided on an “as is” and “as available” basis without warranties of any kind, express or implied. We do not warrant that the platform will be uninterrupted, error-free, or secure.
15. Limitation of Liability
In no event shall Mingler's total liability to you exceed the greater of: (a) the total amount you paid to Mingler in the six (6) months preceding the claim, or (b) fifty US dollars ($50). Mingler is not liable for any travel, accommodation, or other expenses incurred in connection with any event.
16. Dispute Resolution
Informal Resolution First: Before filing any formal claim, contact us at biz@himingler.com. We will attempt to resolve the matter informally within 30 days.
Binding Individual Arbitration: Any dispute that cannot be resolved informally shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA). The arbitration will take place in Texas, USA.
Class Action Waiver: You and Mingler agree that all disputes will be resolved only on an individual basis and not as part of any class, consolidated, or representative action.
17. Indemnification
You agree to defend, indemnify, and hold harmless Novaslate LLC and its affiliates from and against any claims, liabilities, damages, losses, and expenses arising out of your use of the platform or violation of these Terms.
18. Termination
Mingler reserves the right to suspend or terminate your account at any time, with or without notice, for any reason — including violation of these Terms.
19. Miscellaneous
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Mingler. If any provision is found invalid, the remaining provisions will continue in full force. These Terms are governed by the laws of the State of Texas, USA.
